Terms of Service

1. Acceptance of Terms

By accessing or using takizen ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

takizen is a persistent semantic memory service for AI agents. It provides an MCP-compatible API that allows AI clients to store, retrieve, and manage memories across sessions. The Service includes:

• Semantic memory storage with vector embeddings
• Natural language recall via hybrid search
• Memory graph with typed relationships
• Automated strength decay and archiving
• Chain-of-Thought feedback learning
• A web dashboard for managing memories and API keys

3. Account Registration & API Keys

To use the Service you must create an account and generate an API key. You are responsible for:

• Keeping your API keys confidential and secure.
• All activity that occurs under your API keys.
• Immediately revoking compromised keys via the dashboard.
• Providing accurate registration information.

API keys are issued per namespace. Each key grants full access to that namespace. We store only a SHA-256 hash of each key — the full key is shown once at creation and cannot be recovered.

4. Acceptable Use

You agree not to use the Service to:

• Store or process illegal content, including but not limited to CSAM, content that infringes intellectual property rights, or material that facilitates illegal activity.
• Attempt to access other users' namespaces or data.
• Probe, scan, or test the vulnerability of the Service without written permission.
• Overload the Service with automated requests beyond documented rate limits.
• Reverse-engineer, decompile, or extract proprietary algorithms or models.
• Re-sell or white-label the Service without a commercial agreement.
• Store sensitive personal data of third parties without appropriate legal basis.

We reserve the right to suspend accounts that violate these rules, immediately and without prior notice for serious violations, or after warning for minor violations.

5. Data & Content Ownership

You own your data. All memories, tags, and content you store via the Service remain your property. By using the Service, you grant takizen a limited, non-exclusive licence to store, process, and retrieve your content solely for the purpose of providing the Service.

We do not claim ownership of any content you store. We will not use your memory content to train AI models, sell it to third parties, or use it for any purpose other than operating the Service.

6. Pricing & Plans

The Service offers a free tier and paid plans. Current pricing is displayed on the pricing page. We reserve the right to change pricing with 30 days' notice to existing paid subscribers.

• Free tier — subject to usage limits (see dashboard). No payment required.
• Pro plan — billed monthly or annually via LemonSqueezy. Subscriptions renew automatically until cancelled.
• Refunds — pro-rated refunds available within 7 days of payment if the Service fails to function as described.

7. Service Availability

We aim for high availability but do not guarantee any specific uptime SLA on the free tier. Pro plan subscribers are entitled to best-effort support and advance notice of planned maintenance. We will not be liable for losses resulting from service downtime beyond what is stated in the applicable plan.

8. Limitation of Liability

To the maximum extent permitted by applicable law, takizen shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or related to your use of the Service.

Our total liability to you for any claim arising out of or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or €100, whichever is greater.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

9. Termination

You may terminate your account at any time by submitting a deletion request via the dashboard or by emailing legal@takizen.xyz.

We may terminate or suspend your account immediately if you breach these Terms. Upon termination:

• Your API keys will be revoked immediately.
• Your data will be retained for 30 days, then permanently deleted.
• You may request an export of your data before deletion.

10. Changes to Terms

We may update these Terms. For material changes, we will provide at least 30 days' notice by email. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you disagree with changes, you may terminate your account before they take effect.

11. Governing Law

These Terms are governed by and construed in accordance with applicable EU law. Any disputes shall be subject to the exclusive jurisdiction of the competent courts. If you are a consumer in the EU, you also have access to the EU Online Dispute Resolution platform.
